1. Acceptance of Official Rules. By submitting an entry into the Las Vegas Dream Weekend Presented by Quiznos and CBSSports.com (“Sweepstakes”) you hereby accept and agree to these official rules (the "Official Rules") of this Sweepstakes, and the decisions of the Administrators in connection with this Sweepstakes, whose decisions are final on matters relating to the operation of this Sweepstakes.

2. Promotion Period: The Sweepstakes begins on July 7, 2008 at 12:00:00 am Eastern Time (ET) and ends at 11:59:59 pm ET on October 1, 2008 (the "Promotion Period").

3. Eligibility. The Sweepstakes is offered and open to persons who are legal residents of the fifty (50) United States and District of Columbia who are at least twenty-one (21) years of age on the date of entry in this Sweepstakes. Employees, officers, directors (including immediate family members and members of the same household) of the Sweepstakes Entities, their parents, affiliated and subsidiary companies, advertising and promotion agencies, legal and financial advisors and any and all other companies associated with the Sweepstakes are not eligible to participate in the Sweepstakes. For purpose of the foregoing "immediate family" means parents, spouses, children, siblings or any members of the same households of such employees and directors. This Sweepstakes is void in Puerto Rico, Guam, the U.S. Virgin Islands, all U.S. territories and possessions and where prohibited by law.

4. How to Enter: To enter this Sweepstakes go to www.quiznos.com/cbssports during the Promotion Period and complete the online entry form and submit as instructed. Entrants must complete all required fields on the online entry form during the Promotion Period to be successfully entered in the random drawing. Incomplete or inaccurate entries are void. Limit one (1) entry per person, per valid email address, per day. Additional entries received from any person or email address in a given day will be void. All entries submitted in accordance with these Official Rules shall be referred to hereafter as the “Eligible Entries”. There will be one (1) Grand Prize Winner, one (1) Second Prize Winner, and one (1) Third Prize Winner selected from all Eligible Entries received. All entries become the property of the Sponsor. Sweepstakes Entities and any Internet access providers and their respective parents, affiliates, divisions, and agencies and each of the foregoing entities' respective employees, officers, directors, shareholders, and agents (the “Released Parties”) are not responsible for late, lost, incomplete, damaged, stolen, misdirected, illegible entries, incorrect or inaccurate transfer of entry information, human error, technical malfunctions, lost/delayed data transmissions, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, or software or any combination thereof, inability to access web sites, damage to a user's computer system (hardware and software) due to participation in this Sweepstakes or any other problem or error that may occur. No responsibility is assumed for entrant information that is incomplete or incorrectly entered. By entering, entrants agree to these Official Rules and Quiznos' Terms of Use and Privacy Policy including all eligibility requirements. Entrants who submit inaccurate entry data and/or exceed the entry limits may be excluded from participation at any time during the Promotion Period. Entrants agree to be bound by these Official Rules and consent to use of their names and/or photographs for advertising or publicity purposes by the Sweepstakes Entities and their designees in any and all media without further consideration, except where prohibited by law.

5. Prize Drawings/Winner Notification/Odds: The Grand, Second, and Third Prize Winners (each a “Potential Winner”) will be randomly selected from all eligible entries received during the Sweepstakes Period. The prize drawing will be conducted on or about October 6, 2008. Drawing will be conducted by Marden-Kane Inc., an independent judging organization whose decisions are final and binding on all matters relating to this Sweepstakes. Each Potential Winner is subject to eligibility verification and compliance with these official rules. Marden-Kane will notify Potential Winners by mail, telephone, and/or email, in their sole discretion. Odds of winning a prize depend on the number of eligible entries received.

6. Prizes: One (1) Grand Prize: A trip to Las Vegas for the grand prize winner and up to 9 guests for a Las Vegas Dream Weekend. Prize includes: Round-trip coach air transportation for winner and up to nine (9) guests to Las Vegas, NV from a single major U.S. gateway airport nearest winner's home (as determined by Sponsor) and double occupancy standard hotel accommodations for two (2) nights for up to 10 people (5 double-occupancy rooms); a stretch limo for a “VIP Night on the Town”; a League Champion trophy, 10 (ten) $50 Quiznos Gift Cards, 10 (ten) $50 CBS Sports Store gift cards. The VIP Night on the Town defined as: Dinner for up to ten (10) people at Las Vegas, NV area restaurant of the Sponsor's choice; tickets for up to ten (10) people to a Las Vegas, NV show of the Sponsor's choice; VIP admission for up to ten (10) people to a Las Vegas, NV area nightclub of the Sponsor's choice. Trip destination and dates are at the sole discretion of Sponsor. Grand Prize winner and guests will receive less than 30 days notice prior to trip departure. If Grand Prize winner cannot take the trip on a date specified by the Sponsor, the Sponsor shall have no further obligation to the Grand Prize winner and guest(s) other than to supply the trip to Las Vegas, NV as described by 9/15/09, minus the VIP Night on the Town. All other expenses relating to acceptance of the Grand Prize not explicitly stated herein, including but not limited to taxes, meals, beverages, alcoholic beverages and gratuities are responsibility of the Grand Prize winner and guest(s). Certain travel restrictions may apply. Travel must be completed on dates specified by Sponsor or Grand Prize will be forfeited. Specifics of Grand Prize travel package are subject to availability and Sponsor's sole discretion. Complete terms and conditions of the Grand Prize trip will be furnished with prize notification. Travel must be made through Sponsor's agent on a carrier of Sponsor's choice. Reservations are subject to availability. Travel must be completed by 9/15/09 or Grand Prize will be forfeited. Travel restrictions and blackout dates may apply. Grand Prize winner and guest(s) must travel on the same itinerary and are responsible for obtaining all required travel documents. If Grand Prize winner resides within a 100 mile radius of Las Vegas, NV ground transportation may be provided for Grand Prize winner and guest(s) in lieu of air transportation and no compensation or substitution will be provided for difference in prize value. The guest(s) of the Grand Prize winner must be 21 years of age or older and will be required to execute and return a Travel Release and a liability/publicity release (unless prohibited by law) prior to ticketing. Estimated retail value of the Grand Prize is $14,000. Actual value may vary based on place of departure and dates of travel. One (1) Second Prize: a $1,200 Gift Card to be used toward the purchase of an HD Flat Screen TV; a $500 Quiznos Gift Card; and $50 CBS Sports Store Gift Card. Second Prize retail value is $1,750; One (1) Third Prize: a CBSSports.com Football Jersey (ARV: $100); a $50 Quiznos Gift Card; and a $50 CBS Sports Store Gift Card. Third Prize approximate retail value is $200. Prizes are non-transferable; no substitutions or cash awards allowed, except at the discretion of the Sponsor in which case a prize of equal or greater value will be awarded. Any taxes on prizes are the sole responsibility of the respective winners. All details of any prize not specified herein shall be determined solely by Sponsor. Total approximate retail value of all prizes offered is $15,950. Second and Third prize Gift Cards are subject to certain terms and conditions that will be furnished upon receipt of prize.

7. Affidavit of Eligibility/Liability Release and Publicity Release. Potential Winners will be required to sign and properly execute the following documents and return them via facsimile (and subsequently by mail) to Marden-Kane within 72 hours of receipt: (1) an Affidavit of Eligibility and Liability Waiver; (2) a W-9 Tax Form, and (3) where lawful, a consent to publicity. If any documents sent to a Potential Winner by any means are returned as undeliverable or if a Potential Winner fails to properly execute and return all documents described herein in the time noted, or if a Potential Winner is found not to be eligible or not in compliance with these Official Rules the winner's prize will be forfeited, and an alternate Potential Winner (for corresponding Prize) may be selected for and contacted in accordance with these Official Rules.

8. Certain Prize Restrictions. No assignment, transfer or substitution of any Prize is permitted. Prizes are solely for personal use and may not be used in conjunction with any other promotion. Sweepstakes Entities, and/or any other relevant party, reserve the right to remove or to deny entry to any Prize winner who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any Sweepstakes Entity. All other costs and expenses not specified herein, if any, are the responsibility of the Prize winners ("Winner(s)"). All Prize details are at the sole discretion of the Sweepstakes Entities.

9. Prize Taxes. All federal, state or other tax liabilities arising from this Sweepstakes are the sole responsibility of each Winner.

10. Publicity Release Terms. Except where prohibited by law, Winner's acceptance of a Prize constitutes permission for the Sweepstakes Entities to use Winner's name, photograph, likeness, statements, biographical information, voice, and address (city and state) worldwide and in all forms of media, in perpetuity, without further compensation.

11. Improper Conduct. Administrators, in its sole discretion, may disqualify any entrant from participation in the use of any or all portions of this Sweepstakes, and refuse to award any Prize, if entrant engages in any conduct Administrators deems to be improper, unfair, or otherwise adverse to the operation of the Sweepstakes or detrimental to other entrants of the Sweepstakes. Such improper conduct, includes, without limitation, falsifying personal information required during entrant registration or prize claim, violating any term or condition stated herein, accumulating entries through methods such as automated computer scripts or any other programming techniques, allowing others to use entrant's personal information for the purpose of accumulating entries, or intentionally trying to defraud, reverse engineer, disassemble or otherwise tamper with the computer programs in connection with the Sweepstakes. Entrants agree that Administrators may void any part of a Prize that entrant may have won and/or require the return of any part of a Prize that entrant may have won as a result of such improper conduct. Entrant further acknowledges that any forfeiture of a Prize and/or return of a Prize shall in no way prevent Administrators from pursuing other avenues of recourse such as criminal or civil proceedings in connection with such conduct. WARNING: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SWEEPSTAKES ENTITIES RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Integrity of Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, network overload (Internet/phone/cellular) or any other causes which Administrators, in the sole opinion of Administrators, deems could corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, Administrators reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes and select Potential Winner(s) from entries received prior to the action taken or in such other manner as Administrators may deem fair and appropriate.

13. Lost, Delayed or Corrupted Entries. The Sweepstakes Entities, and their parents, affiliated and subsidiary companies and advertising and promotion agencies assume no liability and are not responsible for, and entrant hereby forever waives any rights to any claim in connection with, lost, late, incomplete, corrupted, stolen, misdirected, delayed entries; or for any computer, telephone, wireless phone, cable, network, satellite, electronic or Internet hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information. The Sweepstakes Entities, and their parents, affiliated and subsidiary companies, advertising and promotion agencies are not responsible for any incorrect or inaccurate information, whether caused by end users of the Sweepstakes web site at www.quiznos.com/cbssports, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Sweepstakes.

14. Damaged Property. Sweepstakes Entities, and their parents, affiliated and subsidiary companies and advertising and promotion agencies assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, injury or damage to entrant's or to any other person's computer or property related to or resulting from participating in this Sweepstakes or downloading materials from this Sweepstakes.

15. Sweepstakes Errors. The Sweepstakes Entities, and their parents, affiliated and subsidiary companies and advertising and promotion agencies assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, errors and/or ambiguity: (a) in the Sweepstakes; (b) in any related advertising or promotions of this Sweepstakes; and/or (c) in these Official Rules. In the event of any ambiguity(s) or error(s) in these Official Rules, Administrators reserves the right to modify these Official Rules for clarification purposes or to correct any such error(s) without materially affecting the terms and conditions of the Sweepstakes.

16. Prize Winners and Prizes. The Sweepstakes Entities, and their parents, affiliated and subsidiary companies and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, the selection and announcement of a Prize Winner, or the distribution of a Prize, the acceptance/possession and/or use/misuse of any part any prize and/or any injury or damage to entrant's or third person's property related to or resulting from any part of a prize or any part of this Sweepstakes.

17. Release and Indemnity. Each entrant in this Sweepstakes, including, without limitation, the Prize Winners, hereby releases and agrees to hold harmless the Sweepstakes Entities and their parents, affiliates, subsidiaries, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any prize, participation in this Sweepstakes and participation in any activity related to this Sweepstakes.

18. Limitation of Liability. IN NO EVENT WILL THE SWEEPSTAKES ENTITIES, THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE GRAND PRIZE SWEEPSTAKES OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE GRAND PRIZE SWEEPSTAKES. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

19. Disclaimer of Warranties. THE SWEEPSTAKES AND PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

20. Identity Disputes. In the event of a dispute as to the identity of a Winner based on an e-mail address the winning entry will be declared made by the Authorized Account Holder of the e-mail address submitted at time of entry into the Sweepstakes. For purposes of these Official Rules "Authorized Account Holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

21. Binding Arbitration. The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules and/or this Sweepstakes. Any controversy or claim arising out of or relating to these Official Rules and/or this Sweepstakes shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of New York, in the City of New York, County of New York, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

22. Governing Law and Jurisdiction. This Sweepstakes is governed by United States law and is subject to all applicable federal, state and local laws and regulations. Void where prohibited. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Administrators in connection with this Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, U.S.A., without giving effect to the conflict of laws rules thereof and shall take place in the State of New York, in the City of New York, County of New York.

23. Winners' Names/Official Rules: For the names of the Prize Winners send a self-addressed stamped envelope for receipt by November 30, 2008 to CBS-Quiznos Winners, c/o Marden-Kane, Attn: MB, 36 Maple Place, Manhasset, NY 11030. For Official Rules send a self-addressed stamped envelope to the above address marked "Official Rules: CBS-Quiznos” for receipt by October 1, 2008. Residents from VT may omit postage on the self-addressed envelope. The names of Prize Winners and the Official Rules will also be posted at www.quiznos.com/cbssports.
